Terms and Conditions
1. AGREEMENT TO TERMS

These Terms and Conditions, together with the Service Agreement, constitute a legally binding agreement made between the Client identified in the Service Agreement and MTech Solutions AI LLC. (“MTech Solutions AI”), concerning Client’s access to and use of https://www.moderntech-ai.com (the “Site”).
Client agrees that by accessing the Site, Client has read, understood, and agreed to be bound by all of these Terms and Conditions. MTech Solutions AI reserves the right, in its sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. MTech Solutions AI will post the updated Terms and Conditions on the Site. Client will be subject to, and deemed to be aware of and to have accepted, any revised Terms and Conditions if Client continues to use the Site after the date such revised Terms and Conditions are posted.
2. CLIENT ACCESS AND CLIENT DATA
MTech Solutions AI hereby grants Client a non-exclusive, non-transferable right to access the Site and use the Services during the term, solely for use by Client’s authorized users in accordance with these Terms and Conditions. Such use is limited to Client's internal business use.
MTech Solutions AI shall provide to Client the necessary passwords and network links or connections to allow Client to access the Site. For security purposes, the total number of authorized users will not exceed five, except as expressly agreed to in writing by the Parties.
MTech Solutions AI acknowledges that, as between MTech Solutions AI and Client, Client owns all right, title, and interest, including all intellectual property rights, in and to Client’s data uploaded to the Site. Client hereby grants to MTech Solutions AI a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and use and display the Client data solely to the extent necessary for MTech Solutions AI to provide the Services to Client.
Notwithstanding the foregoing, all knowledge that MTech Solutions AI’s artificial intelligence model creates or adapts from learning about Client’s business and the Services provided to Client shall be the property of MTech Solutions AI.
3. MTECH SOLUTIONS AI’S INTELLECTUAL PROPERTY RIGHTS
Client acknowledges that MTech Solutions AI owns all intellectual property related to the Site, Services, software, databases, designs, content, trademarks, and logos. Client may not copy, distribute, reverse engineer, or misuse any part of the Site or Services.
4. CLIENT REPRESENTATIONS
Client represents and warrants that:
All information submitted is accurate and current
Client will comply with all applicable laws
Client will not use automation, bots, or scraping
Client has obtained all legally required consent (including TCPA where applicable)
5. CLIENT REGISTRATION
Client is responsible for maintaining the confidentiality of login credentials. MTech Solutions AI may modify or revoke usernames at its discretion.
6. CONFIDENTIALITY
Both parties agree to protect Confidential Information using commercially reasonable safeguards for a period of three (3) years, subject to standard legal exceptions.
7. CANCELLATION
Upon termination, Client remains responsible for payment of all services scheduled through the effective termination date.
8. PROHIBITED ACTIVITIES
Client may not:
Violate laws
Upload malicious code
Scrape, reverse engineer, or compete with MTech Solutions AI
Interfere with Site operations
9. WARRANTIES AND DISCLAIMER
Services are provided “AS IS”, except for limited warranties required by law. All other warranties are expressly disclaimed.
10. SUBMISSIONS
All feedback or submissions become the exclusive property of MTech Solutions AI without compensation.

The Site is hosted in the United States. Use of the Site constitutes consent to data processing in the U.S.
12. TERMINATION BY MTECH SOLUTIONS AI
MTech Solutions AI may suspend or terminate access at any time, with or without notice.
13. MODIFICATIONS AND INTERRUPTIONS
MTech Solutions AI may modify or discontinue the Site at any time and is not liable for downtime or interruptions.
14. GOVERNING LAW
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
15. DISPUTE RESOLUTION
Disputes will be resolved through informal negotiations followed by binding arbitration via the American Arbitration Association, seated in San Francisco, California, unless legally exempt.
16. CORRECTIONS
Errors or omissions may be corrected at any time without notice.
17. LIMITATION OF LIABILITY
Liability is limited to the amount paid by Client in the six (6) months preceding the claim.
18. INDEMNIFICATION
Each party agrees to indemnify the other for violations, misuse, or intellectual property claims as outlined herein.
19. DATA SECURITY / RESTRICTIONS
MTech Solutions AI uses commercially reasonable safeguards and uses Client data solely to deliver Services, unless legally required otherwise.
20. DATA BACKUPS
Routine backups are performed, but MTech Solutions AI is not liable for data loss. Clients may download their data at any time.
21. ELECTRONIC COMMUNICATIONS
Client consents to electronic records, notices, and signatures.
22. FORCE MAJEURE
Neither party is liable for delays caused by events beyond reasonable control.
23. MISCELLANEOUS
These Terms constitute the entire agreement. No partnership or agency relationship is created.
