1. Agreement to Terms
These Terms and Conditions, together with the Service Agreement, constitute a legally binding agreement between the Client and MTech Solutions AI LLC concerning access to https://www.moderntech-ai.com (the "Site").
Clients agree that accessing the Site means they have read, understood, and agreed to be bound by all of these Terms and Conditions. The company reserves the right to modify terms at any time, with updates posted on the Site. Continued use indicates acceptance of revised terms.
2. Client Access and Client Data
MTech Solutions AI grants a non-exclusive, non-transferable right to access the Site and use the Services for authorized internal business use only. Password access is limited to five authorized users unless written agreement permits otherwise.
The company acknowledges clients own all right, title, and interest, including all intellectual property rights, in and to Client's data. However, all knowledge that MTech Solutions AI's artificial intelligence model creates or adapts from learning about Client's business becomes company property.
3. Intellectual Property Rights
Clients acknowledge MTech Solutions AI owns all intellectual property including Site, Services, software, databases, designs, content, trademarks, and logos. Prohibited activities include copying, distributing, reverse engineering, or misusing Site components.
4. Client Representations
Clients warrant that submitted information is accurate, they'll comply with applicable laws, won't use automation or bots, and have obtained necessary legal consents including TCPA compliance.
5. Client Registration
Clients are responsible for maintaining the confidentiality of login credentials. The company may modify or revoke usernames at its discretion.
6. Confidentiality
Both parties protect Confidential Information using commercially reasonable safeguards for a period of three (3) years, subject to standard legal exceptions.
7. Cancellation
Upon termination, clients remain responsible for payment of all services scheduled through the effective termination date.
8. Prohibited Activities
Clients may not violate laws, upload malicious code, scrape or reverse engineer services, or interfere with Site operations.
9. Warranties and Disclaimer
Services are provided "AS IS," except for limited warranties required by law. All other warranties are expressly disclaimed.
10. Submissions
All feedback or submissions become the exclusive property of MTech Solutions AI without compensation.
11. Privacy Policy
Review the Privacy Policy. The Site is hosted in the United States. Use of the Site constitutes consent to data processing in the U.S.
12. Termination by MTech Solutions AI
The company may suspend or terminate access at any time, with or without notice.
13. Modifications and Interruptions
MTech Solutions AI may modify or discontinue the Site and is not liable for downtime or interruptions.
14. Governing Law
Terms are governed by New Jersey law, without regard to conflict-of-law principles.
15. Dispute Resolution
Disputes proceed through informal negotiations, then binding arbitration via the American Arbitration Association, seated in San Francisco, California, unless legally exempt.
16. Corrections
Errors or omissions may be corrected anytime without notice.
17. Liability Limitation
Liability is limited to the amount paid by Client in the six (6) months preceding the claim.
18. Indemnification
Each party indemnifies the other for violations, misuse, or intellectual property claims.
19. Data Security
MTech Solutions AI uses commercially reasonable safeguards and uses client data solely to deliver Services, unless legally required otherwise.
20. Data Backups
Routine backups are performed, but the company is not liable for data loss. Clients may download data anytime.
21. Electronic Communications
Clients consent to electronic records, notices, and signatures.
22. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control.
23. Miscellaneous
These Terms constitute the entire agreement. No partnership or agency relationship is created.
